ATM Placement Agreement

1.1 Complete ATM Services will install an Automatic Teller Machine (ATM) on the premises listed in this agreement with the consent of the Site Owner and rebate amounts agreed and duly signed for on this agreement. The responsibility to cash the machine rests with the Site Owner. There is no minimum or maximum term.

1.2 The Site Owner understands and affirms that an order for the installation of an ATM has been placed and Complete ATM Services must be notified in writing of cancellation within three working days of signing this agreement.

1.3 The Site Owner agrees to provide a dedicated, double 240 volt power outlet with surge arrestor fitted directly behind the proposed installation location. The Site Owner will arrange for the connection of a telephone line (with 3des equipment, the line must be a separate dedicated line. It must not run through at PABX system or share any other line) at their expense and will also pay for any additional upgrades if required to the telephone system.

1.4 The Site Owner agrees to provide adequate space around the ATM in order to ensure that:
a) The positioning of the ATM is prominent
b) Cash Replenishment/Maintenance and Servicing can be easily performed
c) Cardholders have easy access
d) The ATM is clear of hazards and will not suffer any damage as a result of its placement in that location.
e) The ATM is fully ventilated, with a space of at least 10cm between the wall and the ATM

1.5 Complete ATM Services will provide adequate staff training, instructional literature and initial stationary supplies in order for the ATM to be operated by the Site Owner after installation.

1.6 Complete ATM Services will provide adequate promotional signage in order to advertise the availability of the ATM. The Site Owner will promote the ATM in store by placing signage as necessary.

2.1 Any cash contained in the ATM is the property of the Site Owner and this cash is the sole responsibility of the Site Owner

2.2 The Site Owner agrees to keep sufficient cash amounts in the ATM so that it is available for use during the normal operating hours of the business

2.3 Complete ATM Services may schedule sufficient “down time” in order to allow for maintenance or repair of the ATM

3.1 If the site owner wishes to purchase insurance to cover the replacement cost of their ATM supplied in case of accidental damage (flood, fire, lightning strikes, power surges etc) or intentional damage they should insure it to the value of the purchase price.

3.2 It is advisable that The Site Owner leaves the ATM open after hours and to remove cash canisters and to leave the reject bin open. Vandalism is not covered by warranty.

4.1 The Site Owner indemnifies Compete ATM Services and keeps Complete ATM Services indemnified against any and all matters concerned with a breach of any obligations outlined in this agreement or any relevant legislation or codes of conduct pertaining to this matter.

4.2 The Site Owner indemnifies Complete ATM Services against any claim made by the Site Owners employees from loss, injury, or damage suffered as a result of the ATM being installed or operated whether such compensation is made under the provisions to any workers compensation act of any other legislation.

4.3 The Site Owner indemnifies Complete ATM Services against any claim for loss or damage incurred by any person as a result of negligence by the Site Owner or their employees.

4.4 The Site Owner indemnifies Complete ATM Services against any claim for losses incurred by the Site Owner as a result of equipment failure, telephonic communication breakdown or disputed fund clearances between the Site Owner and any financial institution.

4.5 The Site Owner acknowledges that no claim or recourse can be made against Complete ATM Services if the Site Owner suffers a loss as a result of any error or discrepancy on:
a) the amount of cash dispensed
b) the amount paid to the Site Owner by the clearing bank
c) any direct debiting from the Site Owners bank account
d) any disputed monies between the Site Owner, Bank, or any other financial institution

5.1 The Site Owner will bear the cost of any repairs if they are a result (either directly or indirectly) of negligence or any act committed by The Site Owner, its employees or customers. This placement includes maintenance parts and labour. The Site Owner shall order replacement paper rolls through Complete ATM Services.

5.2 Complete ATM Services reserves the right to deduct any monies owed by Site Owner as a result of maintenance or repairs undertaken as a result of a negligent act as described in these clauses.

5.3 The Site Owner agrees to allow reasonable access for Complete ATM Services or its agents to inspect the equipment or perform maintenance and repairs.

5.4 The Site Owner agrees to replace the paper in the ATM when required and correct any paper misfeeds, belt replacements or cash and paper jams. The Site Owner agrees to comply with and assist technicians by telephone or email to resolve minor issues to avoid an unnecessary call out. The Site Owner will assist with the replacement of minor components.

6.1 Warranty covers all major components including screen
6.2 Electronic boards, sensors are covered.
6.3 Rubber parts, keypads, screen, card reader, dispensers, and canisters are covered for 5 years or 60,000 transactions.
6.4 Canisters are not covered if they are dropped.
6.5 Keypad is not covered for liquid damage.
6.6 Printer 300,000 cuts, not covered for paper obstructions
6.7 Lock is covered for 5 years or 60,000 transactions (not batteries or combination loss)
6.8 Screens are not covered for wilful acts of vandalism (such as punching of the screen). Vandalism can usually be ascertained by the last transaction done on the machine.

7.1 Complete ATM Services, for as long as the ATM is in location shall direct all data traffic to a processor chosen by Complete ATM Services. This Data Processor shall direct where The Site Owner’s data traffic is routed and which financial institution deposits funds into the Site owners Bank Account.

7.2 Complete ATM Services reserves the right, for as long as the ATM is in location, to apply surcharging increases on transactions that will be borne to the end user.

7.3 Complete ATM Services is not responsible for transaction processing time delays that may occur on the dial up network.

8.1 Complete ATM Services will pay the Site Owner transaction rebates inclusive of GST at the amount detailed and the Transaction Rebate will be deposited into The Sites Owners bank account on a monthly basis.

8.2 The Site Owner should limit use of EFTPOS facility for cash out transactions except when the ATM is out of service.

8.3 Transaction rebates are paid monthly to the Site Owners nominated account with statements sent quarterly or anytime on request.

8.4 Settlements are reimbursed to the Site Owners nominated bank account by the switch within 2 full business days.

9.1 In the event of Government legislation where the site must remove the ATM, Complete ATM Services will not seek any penalty payment nor will the Site Owner seek same.

9.2 The Site Owner is liable to pay any GST due as a result of any goods or services supplied by Complete ATM Services Pty Ltd

10.1 The Site Owner must not disclose the contents, terms or conditions listed in this or any other document supplied by Complete ATM Services or its agents to anybody not directly concerned with the Site Owners business.

11.1 The Site Owner acknowledges and affirms that he/she has been presented with and signed all relevant documents including this one, and that he/she fully understands all terms and conditions listed therein.

12.1 Complete ATM Services Pty Ltd may in its absolute discretion assign or transfer in any way its rights under this agreement.
